UPDATE: 38 Infinity Ward Employees File Lawsuit Against Activision Over Royalties, Alleges Devs Held "Hostage"

UPDATE 2:53 PM: Activision has issued a brief response to the lawsuit:

"Activision believes the action is without merit," said a company spokesperson over e-mail just moments ago. "Activision retains the discretion to determine the amount and the schedule of bonus payments for MW2 and has acted consistent with its rights and the law at all times. We look forward to getting judicial confirmation that our position is right.

ORIGINAL STORY: The other shoe has now dropped.

I've obtained a copy of a lawsuit filed this morning in the Los Angeles Superior Court by 38 plaintiffs, calling themselves the "Infinity Ward Employee Group," against Activision. The Infinity Ward Employee Group (whom I'll refer to as IWEG throughout the rest of this story) alleges breach of contract, breach of the implied covenant of good faith and fair dealing, violation of California labor code and more. The group is after a large amount of unpaid royalties.

"Activision owes my clients approximately $75 million to $125 million dollars," said Bruce Isaacs, one of the IWEG's attorneys at Wyman & Isaacs LLP, over the phone this afternoon. "Activision has withheld most of the money to force many of my people to stay, some against their will, so that they would finish the delivery of Modern Warfare 3. That is not what they wanted to do. Many of them. My clients' entitled to their money. Activision has no right to withhold their money -- our money."

The IWEG contains "a significant portion of the members of the creative team" who "designed, developed and delivered" Call of Duty: Modern Warfare 2 to Activision. According to the lawsuit, $28 million has been delivered to Infinity Ward employees for bonuses related to Modern Warfare 2, but the suit alleges at least $54 million is still due from 2009 profits alone.

They want more than $54 million, however. The IWEG is looking "to recover between $75 million and $125 million, if not more, in compensatory damages." That number's derived from:

  • Unpaid bonuses from 2009 and 2010 sales generated by Modern Warfare 2 -- fourth quarter 2009 and first quarter 2010, specifically.
  • Bonuses "due and owing to them" past first quarter 2010.
  • "Bonus/royalty/profit participation" related to "technology/engine" royalties, "other special performance bonuses," "other studio bonuses" or "any other bonus/royalty/profit participation."'
  • Lost value on "restricted stock units" that Activision "promised" would vest (read: own it in your own name and purchase it from Activision) when Modern Warfare 2 sales eclipsed Modern Warfare 1, which "has long ago occurred."
  • Money owed as it relates to Modern Warfare 2 "sister games, including but not limited to" the oft-mentioned Modern Warfare 3, "if Modern Warfare 3 is ultimately delivered and marketed."
  • Interest rates related to the above sums of money.

The lawsuit focuses on royalties generated for Modern Warfare 2 following release and the agreement between Infinity Ward employees and Activision for receiving the subsequent bonuses. The IWEG contends the only condition for becoming eligible for said bonuses was delivering Modern Warfare 2 in time for the game's intended November 10, 2009 launch. Modern Warfare 2 did launch as scheduled on November 10 last year, generating $1.1 billion in 2009.

Modern Warfare 3 has been mentioned during the legal back-and-forth between ex-Infinity Ward leadership Vince Zampella and Jason West and Activision, and it's brought up again here, too.

The IWEG alleges Activision has "improperly withheld this specifically identifiable sum of money from the members of IWEG in order to force them to keep working for Activision so that Activision could receive delivery of Modern Warfare 3." The suit alleges Activision "made a calculated, purposeful and malicious decision" to withhold proper bonuses "in an attempt to force employees of Infinity Ward to continue to work at a job that many of them did not want just so Activision could force them to complete the development, production and delivery of Modern Warfare 3."

The legal language gets harsher, too.

"In short," reads the lawsuit, "Activision withheld the property of the IWEG in an attempt to keep the employees hostage so that Activision could reap the benefit of the completion of Modern Warfare 3."

What does the IWEG want in return? "At least in the additional amount of $75 million to $500 million as an award for punitive damages," continues the lawsuit, citing a number calculated from the blockbuster sales of Modern Warfare 2 and "Activision's net worth."

The IWEG also believes Activision violated California Labor Code during their alleged failure of payment.

"Activision has a duty to pay all of the members of the IWEG all of the money they are owed [...] within 72 hours of the termination of their employment," reads the lawsuit. "Activision, however, has failed to do so."

The full list of plantiffs mentioned in the suit (not all of them have left Infinity Ward): Todd Alderman, Frank Gigliotti, Roger Abrahamsson, Brad Allen, Mohammad Alavi, Richard Baker, Chad Barb, Keith Bell, Chris Cherubini, Taihoon William Cho, Chris Dionne, Joel Emslie, Robert Field, Steve Fuduka, Robert Gaines, Chance Glasco, Preston Glenn, Joel Gompert, Chad Grenier, Mark Grigsby, John Haggerty, Jacob Michael Keating, Chris Lambert, Ryan Lastimosa, Fairfax S. McCandlish IV, Jason McCord, Brent Mcleod, John Paul Messerly, Stephen Miller, Zied Rieke, Jon Shiring, John Slayback, Richard Smith, Geoffery Smith, Jiesang Song, Todd Sue, Rayme C. Vinson and Lei Yang. All are represented by Wyman & Isaacs LLP located in Los Angeles.

Bold claims. I've reached out to Activision for comment.

Clearly, however, the drama involving Infinity Ward is far from over.

    I'm thinking the ground work for MW3 has probobly already been laid before activision started fireing people. Activision will probobly fill any gaps at infinity ward with memebers from tyarch.

    I really hope zampela and west win but i still think this is probably for the best considering they get full control over their ip and who would want to work for activision anyways with the way kotik see games. he's nothing but a snake in the grass with a lot of green in his pocket.

    you know it's a bad situation when the CEO's of a game company are not gamers but Corp. college grads coming from a company that made oil of olay body soap. these idiots just took a storied franchise company and ran it into the ground. and the funny thing is you cannot stop them. after Activision is dead they will move to another company and do it all over again. how can we as consumers get the list of Activision shareholders and contact them to complain that these idiots are ruining their stocks, and companies, as well as due to the sheer number of complaints and whistle blowers that unfathomable violations are being committed. Lawyers will get paid, CEO's will get their pay and bonuses. is it really that difficult to run a game company? really? come on i may not have graduated college yet but even i know enough to not screw with the talent. why are the shareholders not asking for the heads of the CEO's in response to this. this in the doctrine of the code of conduct of Activision-Blizzard is a Massive violation to those policies pertaining to the integrity of the company to not bring negative karma upon the company. if i was a shareholder i would be flipping out and call for the firing of the board of directors and sue them for sabotage. the CEO's knew this would happen and they have done nothing in order to clean it up. you can't e-mail them or Activision itself and all they can do is post some lame politically correct statement about how great things are. but these greedy people refuse to put their arses on the hot seat and debate their decision with the ones who pay their Massively overpriced salaries US. i ask the gaming community to BOYCOTT ACTIVISION. Brothers and Sisters WILL YOU STAND WITH ME? LETS START THE HACKING, BOYCOTTING, BURNING OF CEO DOLLS IN FRONT OF ACTIVISION, GO INTO STORES AND TRASH ALL THINGS ACTIVISION AND GET THE NEWS TO TALK ABOUT IT. IT IS WITH THOSE TOOLS THAT WE CAN USE TO STRIKE A FATAL BLOW TO THESE MORONS WHO OBVIOUSLY WITH A COLLEGE DEGREE DON'T KNOW WHAT THEY ARE DOING. DID THEY GO TO COLLEGE TO LEARN HOW TO THINK?     This is exactly why the next call of duty(Vietnam) is the last i will ever buy. The only reason I'm buying that is cause i fairly liked World ar War and the Vietnam setting will seem fresh for Call of Duty. At this point Activision is screwed with Infinity Ward and COD MW3. If they give them the money then they're going to pick up and leave for Respawn, if they don't get the money then they're be so pissed that they leave anyways. I also think that MW3 isn't going to happen and if it does then its sales will suffer. The only problem is that there are the people who don't pay attention or care about the developer or publisher. The little kids ages 8 through 15 will also buy it (or more importantly, force their ignorant parents to buy for them) simply because they see Call of Duty or Modern Warfare on the box (even though they shouldn't be playing it anyways).

    many devs like bioware have done very very well with the way EA does things now i mean DA origins and ME2 both very good games only a few months apart i hope we will see respawn have the same success with EA and i hope them the best

    Now it appears that at least these 38 IW employees wanted what was best for its fans. Activision wanted a set in stone date for MW2 so they could make the holiday rush. If it was up to Infinity Ward MW2 would probably have been delayed so they could perfect it. Then IW was probably wanting to move on to another game outside the COD/Modern Warfare universe. Activision would not let them because they want a COD/Modern Warfare branded game every year. These 38 IW guys did not want themselves or their fans to become slaves to that grind.

    So if this goes south for the IW team I think as a big fan of their hardwork on MW 1&2 we as fans should show support and avoid buying any activision's product for trying to screw them. IW is on to something good with the modern warfare franchise and I would think that one of the more honest companies out there would be more than happy to pick them up. See waht happens when you get $$$$$$$GREEDY$$$$.

    So does this mean that things are going to keep escalating? You know, next week find out that Activision has threatened employes or something like that? I mean I hope so for the sake of drama and revenge on Activision for running so many good things into the ground, but it would be nice to see things resolved quickly and the guys that deserve it get their due (meaning the IWEG and the guys at RE get their rightfully earned money).

    IW is dead once the wound cannot bleed no more, Activision loses money everytime someone leaves. They are scrambling around desperatley to stop the bleeding. I think they carved there own "Exit" wound!

    Those words make me sad, because we may never see MW3. Oh well screw Activision they will never get my dollars again fo sho!!!

    As a mate of mine and I were just discussing:

    NO ONE can say now that Modern Warfare 2 was made just to be a good game. Clearly, the fat cats at Activision had dollar signs in their eyes and this sequel (to Activision, at least) was only being made to make money.

    Oh... and it's probably a good idea to pay your employees what they are owed instead of trying to find loopholes within legal jargon to take someone else's hard earned money and run. Even if Activision win this lawsuit, the writing's already on the wall. No self-respecting gamer will buy a brand new copy of a game Activision published after all this is said and done (I've already made it a point to buy Activision games used, starting with Blur and Singularity) and no self respecting developer will agree to make games for them considering the treatment IW is getting/has gotten.

    With that said, I wish not only IWEG but every single one of the developers, like Bizarre Creations and FreeStyle Games, that are still on the other end of Activision's whip. EA learned their lesson when they played this game and have come good for it... now it's finally your turn, Activision.
