ELIGIBILITY:
OPEN ONLY TO LEGAL U.S. and Canada residents (excluding the province of Quebec) age 13 and older at the time of entry, logging onto the Internet in the United States and Canada (excluding the province of Quebec). Employees of TechTV Inc ("TECHTV"), its affiliated cable operators or programming distributors, the sponsors, or their parents, subsidiaries, advertising and promotion agencies, and the immediate families and members of the household of any such employees are not eligible to enter or win.

HOW TO ENTER AND WIN:
Nerd Nation's Todd McFarlane Merchandise Giveaway ("Sweepstakes") begins on Monday, February 16, 2004 at 12:00 am EST and ends on Sunday, February 22, 2004 at 11:59 pm EST. Current subscribers to the "Nerd Nation" e-newsletter are automatically entered in this Sweepstakes and you will automatically be entered into the Sweepstakes when you register for TechTV and subscribe to the "Nerd Nation" e-newsletter at http://cgi.techtv.com/memberservices. All entries become the exclusive property of TechTV and will not be returned. By submitting an entry, the entrant accepts all contest rules and agrees to be bound by them.

One registration per person and email address. Four winners will be randomly selected from the total pool of eligible entrants during the Sweepstakes Period, in a Drawing to be held on Monday, February 16, 2004 and four winners will be randomly selected from the total pool of eligible entrants during the Sweepstakes Period, to be held Monday, February 23, 2004. Winners will be sent an affidavit of eligibility and is required to return the documents within 10 days of receipt of these documents. If winner fails to respond within that time period, prize will be forfeited and awarded to an alternate winner chosen at random from the remaining entrants in the pool. Winner may be required to provide evidence that winner is the authorized account holder of the email address associated with the winning entry. Eligible Canadian residents must correctly answer a time based, mathematical skill-testing question administered by phone/mail to be eligible for a prize.

Submitting an entry, except where prohibited by law, constitutes a grant of permission to TECHTV or its agents to include winners' names on the Web site without further notice and, except where prohibited by law, each winner consents to the use of their name and entry in any manner by TechTV and its advertising and promotion agencies without further compensation.

PRIZES:
Eight (8) winners will be randomly selected from all eligible entrants. Winner will receive one of the following eight prizes.

Two First Prizes:One (1) autographed copies of "The Devil You Know" DVDs (ARV $30 each)
Two Second Prizes: One (1) autographed Spawn action figure dolls (ARV $20 each)
Four Third Prizes: One (1) autographed copy of a Spawn comic book (ARV $5.00 each)

Total ARV of all Prizes is $120. All Prizes will be awarded. No other substitution, assignment or transfer of prizes permitted, except by Sponsor, who reserves the right to substitute a prize with another prize of greater or equal value. Other restrictions may apply. The odds of winning depend on the number of eligible entries received and submitted in accordance with the rules. Neither TECHTV nor its affiliates, subsidiaries, divisions, or related companies are responsible for any damages, taxes, or expenses that any winner might incur as a result of the giveaway or receipt of any prize. All winners accepting prizes agree that all prizes are awarded on the condition that TECHTV and its agents, representatives, affiliates, and employees will have no liability whatsoever for any injuries, losses, or damages of any kind resulting from acceptance, possession, or use of the prizes. Each winner further acknowledges that TECHTV is not responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition, or fitness.

MISCELLANEOUS:
TECHTV shall not be responsible for lost or misdirected messages or mail, unavailable network connections, failed, incomplete, garbled or delayed computer transmissions, on line failures, hardware, software or other technical malfunctions or disturbances or other communications failures or circumstances affecting receipt of entries or entrants' ability to participate in this promotion. By entering, each participant agrees to be bound by the rules and regulations of this promotion. This promotion will be sponsored and judged by TECHTV and its decisions shall be final. TECHTV reserves the right to modify, suspend or terminate the Sweepstakes. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the person in whose name the e-mail account is registered. Entries become the property of TECHTV and will not be returned.

TECHTV, in its sole discretion, reserves the right to disqualify an entrant at any time that TECHTV becomes aware of any occurrence which would materially affect its security or fairness, including but not limited to technical malfunction of the Web site, software and/or hardware transmission failures, and "virus" contamination.
