G4's American Ninja Challenge
Official Rules

IMPORTANT:  Only you are able to assess your own abilities and physical strength.   You acknowledge that you shall not, and Sponsor (defined below) does not encourage, any acts that you believe will endanger you or anyone else.  You acknowledge and agree that Sponsor may receive Videos (defined below) containing feats done by persons who may possess special training, physical strength and skills that allow them to engage in difficult or strenuous activities that appear easy, but are not.  You acknowledge that you are solely responsible for any acts you choose to include in your Video and that the display on Sponsor's website or television channel of any Videos exemplifying feats of strength, agility, or athletic prowess are not endorsements of such acts and do not give you implied or express permission to engage in these acts.

No purchase or payment necessary to win.  A purchase or payment of any kind will not improve your chance of winning.

SPONSOR:  G4's American Ninja Challenge ("Contest") is sponsored by G4 Media, Inc. ("G4" or "Sponsor").   

ELIGIBILITY: To enter the Contest, you must be at least 21 years of age (as of the start of the Contest Entry Period) and a legal resident of one of the 50 United States or the District of Columbia.

The Contest is not open to the following individuals: 

  1. Current employees, consultants, or independent contractors of G4, E! Entertainment Television, Inc. and their respective parent companies, affiliated companies, advertising agencies, promotion partners, or any other entity involved in the design, production, promotion, marketing, legal review or advertising for this Contest (collectively, such individuals are referred to as "Employees"). 
  2. Immediate family members of Employees (e.g., mother, father, sister, brother, uncle, aunt, nephew, niece, grandparent, in-law, daughter or son) regardless of where they live and individuals living in the same household as Employees (whether or not related).
  3. Individuals who are (a) represented under a contract (e.g., by a talent agent or manager) that could limit or impair Sponsor's ability to show the Video (defined below); (b) parties to an acting or modeling contract that would make their appearance on a G4 or other television program a violation of any third-party rights; or (c) members of any guild or union that may prohibit such individuals from participating fully in this Contest, or from allowing Sponsor to use or license the Video (defined below) royalty-free, worldwide in all media now known or hereafter developed in perpetuity. 

This Contest is void outside the United States and in Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries, all other U.S. territories and possessions, and wherever else restricted or prohibited by law.  

WHEN TO ENTER:  The Contest begins on July 1, 2008, at 4:00 p.m. Pacific Daylight Time ("PT"), and the Contest entry period ends on August 3, 2008 at 11:59:59 p.m. PT (just before midnight) ("Contest Period"). 

HOW TO ENTER:    Here is your assignment:  Think you've got what it takes to be a Ninja Warrior? Then prove it! Watch "Ninja Warrior" on the G4 cable television network (check local listings for time and channels).  Then upload your video ("Video") showing us why we should send you to Japan to compete in a "Ninja Warrior" competition. Your Video needs to demonstrate that you possess the extraordinary physical skills necessary to conquer "Ninja Warrior's" notoriously difficult obstacles. We're looking for warriors with strength, speed, agility, balance and endurance. Your Video also needs to prove you have the on-screen charisma to stand out from the hundreds of other potential "Ninja Warrior" contestants. Your Video should be creative: there are lots of ways to show us you're camera ready and tough enough to be a Ninja Warrior and we want to see them.  And be sure to tell the camera why you should be the next American Ninja selected to go to Japan.  So give it your Ninja best and get working on that Video.  But please, don't do anything that would place you or anyone else in danger.

The Video must be at least thirty seconds (0:30) and no longer than five minutes (5:00) in length.

Sponsor in its discretion may elect to provide certain music, sound effects or other audiovisual materials (collectively, "Sponsor Content") for you to incorporate into your Video.  All Sponsor Content is the sole property of Sponsor or its licensors.  You acknowledge and agree that you do not and shall not have or obtain any right, title or interest in or to any Sponsor Content, whether in connection with your participation in the Contest or otherwise, and you agree not to use any Sponsor Content for any other purpose except in connection with this Contest.

To enter your Video in the Contest, go to www.g4tv.com/ninjachallenge during the Contest Period.  Submit the Video along with your full name, address, telephone number, date of birth, email address, and any other information required by the entry form.  You will also need to acknowledge and agree to the terms of these Official Rules.  All materials you submit to Sponsor in connection with the Contest shall be referred to collectively herein as the "Contest Materials."

Entries must be received no later than August 3, 2008 at 11:59:59 p.m. PT, according to Sponsor's electronic time stamp.  Videos must be in a format that is compatible with Sponsor's upload capability.  Individual video files must be 150 MB or smaller and in .mov (QuickTime), .mpg (MPEG), .mp4 (MPEG-4), .asf/.wmv (Windows Media), .flv/.swf (Flash) or .avi (AVI) file format.  Prior to awarding a prize, Sponsor may require any potential winner to complete additional forms to verify information supplied online.  In the event of any dispute regarding the identity of a person submitting an entry, the entry will be deemed to have been submitted by the person who is the authorized account holder of the email address entered on the Contest entry form.  An "authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address.  Sponsor is not liable for entries that are disqualified because they are incomplete, garbled, misdirected or otherwise unintelligible.  No Contest Materials will be returned and they may be destroyed without notice to you.

Any attempt to enter the Contest other than by the method described above shall be void.  Any contestant who uses trick photography or any other deceptive method with the intent of exaggerating his or her strength, agility, flexibility, speed, balance and/or endurance will be disqualified. 

Videos must not include: any nudity, recognizable branded products, copyright protected artwork owned by a third party, live animals, obscene subject matter, unauthorized third party music, or any unauthorized performance that has been broadcast, published, televised or streamed via any media (for example, a television or movie clip).  In addition, Videos that Sponsor deems in its sole discretion to include material that constitutes copyright infringement will be disqualified. 

Videos that Sponsor deems in its sole and exclusive discretion to include excessively dangerous or illegal activities will be disqualified.  

SELECTION PROCESS:  Three (3) Grand Prize winners will be selected through two independent rounds of judging.  In the first round, Sponsor will rate the entries based on the following criteria:  (i) physical characteristics, e.g. strength, agility, flexibility, speed, balance and/or endurance (75 points), and (ii) on-screen appeal (25 points), as evidenced in each contestant's Video. 

In the second round, registered users of the G4 website located at g4tv.com will decide the top three (3) contestants who will become the potential Grand Prize winners. Starting on August 7, 2008, Sponsor will display on on Sponsor's website, www.g4tv.com/ninjachallenge, at least ten (10) and up to twenty five (25) Videos that received the highest scores in the first round (the "Finalists").   The number of displayed Videos between 10 and 25 will be in Sponsor's sole discretion.  Registered g4tv.com users will be able to rate the contestant in each Video in four different categories, (i) Strength, (ii) Balance, (iii) Speed and (iv) Showmanship, each on a scale of 0-5, and based on the user's opinion regarding whether the contestant has the physical skills and charisma necessary to compete on Ninja Warrior successfully.  Users may vote beginning August 7, 2008 at 12:00 p.m. PT through August 17, 2008 at 11:59:59 p.m. PT.  Voting times, dates and procedures subject to change in Sponsor's discretion.  One vote per registered user.  The average score (to two decimal points) for each category will be added together to determine each Video's total score (from minimum of 0 to a maximum of 20 points).

Grand Prize winners will be required to appear on Sponsor's television program, "Attack of the Show."  Sponsor may also subject such winners to one or more physical challenges designed by Sponsor in its discretion. 

Finalists may be subject to a background check and may be required to submit to a physical and/or a drug test in Sponsor's discretion.

Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of entrants who will participate in the Contest.

PRIZESThree (3) Grand Prize winners will be selected to receive a trip to Tokyo, Japan to compete on "Ninja Warrior"("Trip").  The Trip will include:  (a) round-trip coach-class air transportation between a Sponsor-selected major metropolitan airport near winner's residence and a Sponsor-selected major airport in or near Tokyo, Japan; (b) one standard single occupancy hotel room (Sponsors will pay the room rate and tax only) for at least three (3) nights (may be lengthened based on Sponsor's production needs); (c) ground transportation to and from the Tokyo-area airport and hotel and between hotel and shooting locations; (d) entry for one (1) to compete on the "Ninja Warrior" television program; and (e) per diem of $50 (USD) per day while in Tokyo.  Approximate Retail Value ("ARV") of Grand Prize: $3,650 (USD).  Any difference between actual value and ARV will not be awarded.  No transfer, or cash or other substitution of prizes allowed except that Sponsor reserves the right, in Sponsor's sole and absolute discretion, to substitute a prize or prize component of comparable or greater value.

Any prize-related expenses not specifically mentioned in these Official Rules are solely the responsibility of each winner.  Taxes, if any, are the sole responsibility of the winners, and each winner may be issued an IRS Form 1099 for the ARV of any awarded prize.  A winner cannot redeem the Trip for cash or transfer the Trip to another person.  No prize substitution is allowed, except at Sponsor's sole discretion a prize of equal or greater value may be substituted. 

PRIZE CONDITIONS:  G4 will attempt to notify the potential Grand Prize winners by mail, email and/or telephone on or about August 18, 2008, provided the notification date may change at Sponsor's discretion.  To be eligible to receive a prize, a potential winner must provide Sponsor with all information and signatures on all paperwork required by Sponsor in its discretion (which may include paperwork to be completed by other individuals in the Video, if any) by the time specified in such documents.  The Grand Prize winners' paperwork may include, but will not be limited to, paperwork authorizing Sponsor to obtain a background investigation.  A potential winner may not be eligible to receive a Grand Prize, unless Sponsor has obtained satisfactory results (as determined by Sponsor in Sponsor's sole discretion) from a background investigation, drug test and/or physical of potential winner.  Disqualification and the selection of alternate winners may result from any of the following:  (a) potential winner's failure to respond to notification within ten (10) calendar days; (b) the return of any notice as undeliverable; (c) potential winner's inability to provide Sponsor with satisfactory proof that s/he is the authorized account holder of the e-mail address associated with a winning entry; and (d) potential winner's failure to be available to travel to Los Angeles, California or Tokyo, Japan on the dates required by Sponsor; (e) Sponsor's receipt of unsatisfactory results (as determined by Sponsor in its sole discretion) from a background investigation, physical or drug test; and (f) any non-compliance with the Official Rules.   

You must be able to travel to Los Angeles, California for at least two days/one night between August 18, 2008 and September 29, 2008 (as such dates may change in Sponsor's discretion) and to travel to Tokyo, Japan for at least four days/ three nights sometime between August 25, 2008 and September 29, 2008 (as determined by Sponsor in its discretion).  If you are unable to travel on the dates selected by Sponsor for any reason (including inability to obtain a passport), you will be disqualified.  If selected as a Grand Prize winner, you must participate in interviews and other Sponsor-selected activities related to the Contest and related to television specials about the Contest to be produced by Sponsor.

You also must be able to complete and sign a release form and any other paperwork required by the Tokyo Broadcasting System ("TBS"), the Japanese producer of "Ninja Warrior," if any.  If you fail to sign such paperwork or are otherwise ineligible to compete on "Ninja Warrior" as determined by TBS in its sole discretion, you will be disqualified from the Contest.

GRANT OF RIGHTS:  By uploading your Video to the Contest web page, you specifically grant Sponsor and its licensees (including, without limitation, TBS) a royalty-free, five (5) year, worldwide license and right to use the Video, your name, likeness, persona, photograph, voice, and biographical information on any G4 program(s), and for all purposes or programs in all media, including, but not limited to, in broadcast television, non-broadcast television, pay, cable and network television, satellite and closed-circuit transmission, in-flight video, home entertainment (including home video, DVD, CD-ROM in current and future formats, and online services, both commercial and inter networks), wireless, PPV, VOD, sVOD, podcasting, Internet, linear, digital and interactive formats, and printed transcripts without compensation, notice or prior review unless such use is specifically prohibited by law.

G4 and its licensees (including, without limitation, TBS) shall have the full right and power to edit, translate, dub or alter, separate, mix, combine with other material, reuse and adapt any Video ("Adaptations") for any purpose, at any time, and to exploit all such Adaptations in all media now known or hereafter developed throughout the world. 

Your Contest Materials may be used and discussed on "Attack of the Show," on the G4 cable network, on g4tv.com web page, or in connection with other programs or projects (including, without limitation, TBS produced or owned programs) in all media, even if you are not selected as the winner of the Contest.  You understand that such discussions may include comments about you, your appearance, or the Video that you consider humiliating, derogatory or otherwise injurious.  By entering this Contest, you specifically release the Releasees (as defined below) from any actions, claims, injuries, losses or damages allegedly caused directly or indirectly by any such comments.

Sponsor is under no obligation to exhibit your Video or permit the winners (or any other contestant) to appear on-air in any program. 

PUBLICITY:  Sponsor may use all Videos and each contestant's name, likeness, persona, photograph, voice and biographical information to advertise and promote Sponsor, their respective products and services, or the Contest, without compensation, notice or prior review unless such use is specifically prohibited by law.  Sponsor may require winners to participate in photo shoots, public appearances, and other Contest-related activities without compensation. 

OTHER CONDITIONS:  By entering this Contest, you agree and represent that: (a) you will abide by these Official Rules and the decisions of Sponsor; (b) you waive any right to claim ambiguity in the Contest and/or these Official Rules, except where prohibited by law; (c) the Video is your original creation; (d) no third-party has any rights in or to the Video and you have all necessary rights, permission and authority (including, without limitation, permission from any individuals appearing in the Video) to enter the Video in this Contest; (e) no other individuals created the Video or assisted you in the creation of the Video; (f) neither the Video nor any part thereof nor the exercise by Sponsor of any rights therein will violate or infringe upon the trademark, trade name, copyright, right of privacy or publicity, property rights or any other rights of any person or entity; (g) you agree to indemnify Releasees (defined below) against all claims of infringement from any third party for any use by Sponsor of the Video; and (h) you will submit generally and unconditionally to the personal and exclusive jurisdiction and venue of a court of competent jurisdiction located in Los Angeles, California.  By accepting a prize, each winner agrees to release Sponsor, including Sponsor's parent, subsidiaries and affiliated entities, together with their respective directors, employees, officers, licensees, licensors and agents, and respective advertising and promotion entities and any person or entity associated with the production, judging, or administration of the Contest, including, without limitation, TBS (collectively, the "Releasees") from all liability, loss or damage arising from or in connection with awarding, receipt, use or misuse of the Trip or participation in any Trip-related activities. Sponsor reserve the right to cancel, modify, or suspend the Contest in their sole discretion.  Sponsor is not liable for cancellations of the Ninja Warrior competition for any reason.  Sponsor may prohibit a contestant from participating in the Contest or winning the Trip if, in Sponsor's sole discretion, Sponsor determines such contestant is attempting to undermine the legitimate operation of the Contest by cheating, engaging in deception, or any other unfair playing practices or intending to annoy, abuse, threaten, undermine or harass other contestants or Sponsor's representatives.  CAUTION: ANY ATTEMPT BY AN INDIVIDUAL OR ANY OTHER PERSON TO DAMAGE OR UNDERMINE THE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SPONSOR RESERVES THE RIGHT TO SEEK CIVIL AND/OR CRIMINAL PROSECUTION AND/OR DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.  Sponsor reserves the right to disqualify anyone who attempts to tamper with the operation of the Contest or who violates these Official Rules.  Sponsor may cancel, modify or suspend the Contest due to a virus, bug, computer problem, equipment failure (including website failures caused by excessive uploads); unauthorized human intervention; act, regulation, order, or request by any governmental or quasi-governmental entity; threatened or actual national or local emergency; blackout; war (declared or undeclared); fire; flood; epidemic; explosion; unusually severe weather; labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down; or any other similar or dissimilar cause beyond Sponsor's control that corrupts, prevents or impairs the administration, security or proper play of this Contest.  In their sole discretion, Sponsor may disqualify any entry for any reason. 

PRIVACY: All personal information collected by Sponsor will be used for administration of the Contest and in accordance with Sponsor's privacy policy.  Any questions regarding privacy matters should be directed to the address set out below.  Please refer to G4's privacy policy, located at http://www.g4tv.com/g4/about/privacylegal/index.html#privacy for important information regarding the collection, use and disclosure of personal information by G4.
